Terms of Service

End User License Agreement (EULA) — Pheron Agent Effective date: June 1, 2026 Developer: Turgay Savacı, Istanbul, Turkey

Please read this agreement before using Pheron Agent. By activating your license key or using the application, you agree to these terms in full.

1. License Grant

Turgay Savacı ("Developer") grants you a personal, non-exclusive, non-transferable license to install and use Pheron Agent on one (1) Mac computer at a time that you own or directly control.

2. Permitted Uses

  • Install and run Pheron Agent on one Mac at a time.
  • Use the application for personal projects, freelance work, or internal business tasks on your own behalf.
  • Make one backup copy for archival purposes.

3. Restrictions

You may not:

  • Share, distribute, resell, rent, lease, or sublicense the application or your license key to any third party.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the application or its components.
  • Remove, alter, or obscure any copyright notices, license identifiers, or proprietary markings.
  • Use the application to build a competing product or service.
  • Activate the license on more than one Mac simultaneously.

4. License Key and Activation

Your license key is valid for one Mac at a time. To transfer to a new machine:

  1. Go to Settings → Profile → Deactivate on This Mac… on the current Mac.
  2. Activate on the new Mac using the same key.

If you cannot deactivate (lost or damaged device), contact support@pheronagent.com for a manual reset. Abuse of the activation system may result in license revocation without refund.

5. Updates

Your license grants perpetual use of the major version of Pheron Agent available at the time of purchase (e.g., if you purchase while v1.x is current, your license covers all v1.x releases). This includes all minor updates, bug fixes, and security patches for that major version at no additional cost. The version you purchased remains fully functional indefinitely — no subscription, no forced upgrade.

Future major versions (e.g., v2.0 and beyond) are not included in this license and may be offered to existing license holders at a discounted upgrade price. Upgrade offers do not expire.

Major version defined: A new major version is denoted by a change in the leading version number (e.g., v1.x → v2.0). Updates within the same leading number (e.g., v1.9 → v1.10) are always free.

6. Intellectual Property

Pheron Agent and all its components, code, assets, and documentation remain the intellectual property of the Developer. This agreement conveys only the right to use the software under these terms — not ownership of the software itself.

7. Third-Party Components

Pheron Agent includes open source components. Those components are governed by their respective open source licenses (see Third-Party Notices), which are unaffected by this agreement.

8. AI-Generated Output

Pheron Agent uses AI models to generate responses, plans, and execute tasks. You acknowledge that:

  • AI-generated output may be inaccurate, incomplete, or inappropriate for your situation.
  • You are solely responsible for reviewing, verifying, and acting on any output produced by the application.
  • The Developer is not responsible for decisions made based on AI-generated output.

9. Disclaimer of Warranties

Pheron Agent is provided "as is" and "as available," without warranty of any kind — express, implied, or statutory — including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, title, and non-infringement.

The Developer does not warrant that the application will be error-free, uninterrupted, secure, or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Developer's total aggregate liability for any and all claims arising out of or related to this agreement or your use of the application shall not exceed the amount you paid for your license (maximum $99 USD).
  • In no event shall the Developer be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages, so the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Developer from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the application; (b) your violation of this agreement; or (c) any content you process through the application.

12. Governing Law

This agreement is governed by the laws of Turkey, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Istanbul, Turkey. If you are a consumer in a jurisdiction with mandatory local consumer protection laws, those laws may apply in addition to or instead of these terms.

13. Termination

This license is effective until terminated. It terminates automatically if you breach any term. Upon termination, you must stop using the application and destroy all copies in your possession. Sections 8–12 survive termination.

14. Entire Agreement

This agreement, together with the Privacy Policy and the Refund Policy, constitutes the entire agreement between you and the Developer regarding Pheron Agent and supersedes all prior agreements or understandings.
